ACE Supply B2B Orders: End-User License Agreement

This agreement covers the software application “ACE Supply B2B Orders” (the “App”). The App is made and run by AE Diagnostics LLC, doing business as ACE Supply, Des Moines, Iowa (“ACE Supply”, “we”, “us”).
1. What the App is
The App is a private, internal tool. It connects ACE Supply’s own order records to ACE Supply’s own QuickBooks Online company so that invoices for business-to-business orders can be prepared. It is not offered, sold or licensed to anyone outside ACE Supply, and it is not listed on the Intuit App Store. Intuit is not a party to this agreement and is not responsible for the App.
2. Who may use it
Only ACE Supply and the people ACE Supply authorizes (its owner and staff) may use the App, and only for ACE Supply’s own business. No one else is granted any right to use, copy or access it.
3. What the App does with QuickBooks
When ACE Supply connects the App to its QuickBooks Online company, the App may:
- read company settings, customers, products and services, terms, and invoices; and
- create invoices that are saved but not sent. ACE Supply reviews each invoice in QuickBooks before sending it.
The App does not send invoices or emails to customers, does not take or store payment card or bank details, and does not access QuickBooks Payments or payroll. It connects only to ACE Supply’s own QuickBooks company.
4. Data
The App uses the data above only to prepare and track ACE Supply’s own invoices. The QuickBooks sign-in tokens are kept in the encrypted credential store of ACE Supply’s automation service, and order and invoice records are kept in ACE Supply’s own database. We do not sell this data, use it for advertising, or share it with anyone except the service providers that host our systems. Our privacy policy also applies.
5. Disconnecting
ACE Supply can disconnect the App at any time from QuickBooks (Settings, Apps) or by deleting the App or resetting its client secret in the Intuit developer portal. Once disconnected, the App can no longer read from or write to QuickBooks.
6. Ownership and restrictions
ACE Supply owns the App. You may not copy, sell, share, reverse engineer or let anyone else use it.
7. No warranty
The App is provided “as is”, without warranties of any kind, to the extent the law allows. ACE Supply reviews invoices before they are sent and remains responsible for its own books.
8. Limitation of liability
To the extent the law allows, ACE Supply is not liable for indirect, incidental or consequential damages arising from use of the App.
9. Changes and ending
We may change this agreement by posting a new version on this page with a new effective date. We may stop or change the App at any time.

This agreement is governed by the laws of the State of Iowa.
